THIS IS A BINDING CONTRACT. YOUR OR YOUR CHILD'S CONTINUED PARTICIPATION AS AN ENTRANT, LEARNER, VOTER, OR WINNER IN THE CONTEST (AS DEFINED BELOW) IN ANY MANNER, SIGNIFIES YOUR ACCEPTANCE AND AGREEMENT TO THESE OFFICIAL RULES (“RULES”), AND OUTSCHOOL’S TERMS OF SERVICE, AND YOUR ACKNOWLEDGMENT THAT YOUR DATA AND YOUR LEARNER’S DATA WILL BE PROCESSED PURSUANT TO THE PRIVACY POLICY, IN WHATEVER FORM THEY MAY CURRENTLY EXIST. AS SUCH, PLEASE READ THESE RULES IN ITS ENTIRETY.THESE RULES GOVERN WHAT CLAIMS YOU CAN BRING, WHAT DAMAGES YOU CAN CLAIM, AND HOW DISPUTES BETWEEN YOU AND SPONSOR (DEFINED BELOW) RELATING TO YOUR OR YOUR CHILD'S INVOLVEMENT AS AN ENTRANT, LEARNER, VOTER, OR WINNER IN THE CONTEST WILL BE RESOLVED. THE SECTIONS OF THE TERMS OF SERVICE TITLED “DISCLAIMER OF WARRANTIES”, “LIMITATIONS OF LIABILITY”, “DISPUTE RESOLUTION BY BINDING ARBITRATION” AND “GENERAL”, WILL BE HEREBY INCORPORATED BY REFERENCE AND MADE A PART OF THESE RULES, EXPLAIN WHAT CLAIMS YOU ARE WAIVING, WHAT DAMAGES YOU CAN CLAIM, AND CONTAIN AN ARBITRATION AGREEMENT AND WAIVER OF CLASS ACTION, WHICH STATES THAT YOU AND THE SPONSOR (EACH A “PARTY” AND, COLLECTIVELY, THE “PARTIES”) MUST ARBITRATE INSTEAD OF GOING TO A COURT BEFORE A JUDGE AND JURY, AND THAT ALL SUCH ARBITRATION CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS REPRESENTATIVE OR MEMBER, OR OTHERWISE ON BEHALF OF OTHERS, IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.PLEASE NOTE THAT THE “DISCLAIMER OF WARRANTIES”, “LIMITATIONS OF LIABILITY”, “GENERAL”, AND “DISPUTE RESOLUTION BY MANDATORY ARBITRATION” SECTIONS OF THE TERMS OF SERVICE CONTAIN IMPORTANT LIMITATIONS ON OUR LIABILITY AND OUR AGREEMENT TO ARBITRATE FOLLOWING THE LAWS OF CALIFORNIA ONLY.Any violation of these Rules or the Terms of Service, at Sponsor’s sole discretion, may result in disqualification. 

No puchase is necessary to enter or win

Outschool’s Music Talent Showcase Contest ( "Contest") starts on November 1, 2025 at 12:01 a.m. Pacific Time (“PT”) and ends on December 15, 2025 at 11:59 p.m. PT ("Contest Period"). 

ELIGIBILITY: Contest is open to legal residents of the fifty (50) United States and District of Columbia (“US Legal Resident”), who are 18 years of age or older, who is a registered user on Outschool.com (“Website”) with an active membership plan, or an ESA, scholarship or charter enrollment, and a parent or legal guardian of a child, who is an US Legal Resident, enrolled in classes on Outschool.com (“Learner”), in one of the following “Age Groups” (6-9 years old, 10-13 years old, or 14-18 years old) (“Eligible Entry Age”) (“Entrant”). Employees of Outschool, Inc. ("Sponsor"), its parent, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws. By participating, each Entrant agrees to abide by these Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest.

HOW TO ENTER:
To enter, Entrants must visit the Outschool Music Showcase webpage (“Submission Website”) to complete and submit an official entry form on behalf of their Learner and upload a recording, showcasing a talent in one of the designated Prize Categories (as defined below) (“Entry”). Entrants must provide all information requested, including, at a minimum, at least one ( 1 ) recording of the Learner using the upload tool and instructions provided on the Submission Website and such recording must meet the following specifications: 2-3 minutes, filmed vertical 9X6, only one ( 1 ) Learner shown and no other participants, and no disclosure of any personal information (“Submission(s)”).

Submissions must not infringe or violate any right of any third party or entity, including but not limited to copyright, right of publicity, and right of privacy. Please check with the recorder and anyone appearing or assisting in the Submissions, to make sure that you have the rights to submit the Submissions. Submissions should not contain obscene or otherwise offensive content. The determination of whether any image exhibits obscene or offensive content is at the sole discretion of Sponsor. False, deceptive, or incomplete entries or information provided by the Entrants or Learners at any point relating to the Contest may render the entry ineligible, regardless of when the problem is discovered. Once accepted, Learners must display an approved and registered account on Outschool.com, including at the time of entry and throughout the duration of the Contest, including acceptance of any Prizes.

Upon submitting an entry form, Entrant agrees that Sponsor may contact Entrant, including email message, or message on Outschool.com, for any purpose relating to the Contest, including to request documentation verifying legal parentage or guardianship and/or the age or date of birth of the Leaner, resubmission of one or more of the Submissions, and/or to request that the the Entrant submit additional images and/or recordings of the Learner for qualification determination purposes (“Additional Submissions”). Entrants may contact Sponsor, to withdraw consent to be contacted via email message at any time. While an Entrant may have assistance in entering data and uploading the Submissions, the Entrant must otherwise complete the entry forms themselves on behalf of their Learner. As set forth in greater detail below, submission of Submissions and entry in the Contest constitutes consent to the use of the Submissions on the Website and digital apps, and otherwise in connection with Sponsor, the Contest, in any and all media now known or hereafter discovered, for the full duration of the copyright in the applicable Submissions. By entering a Learner in this Contest, Entrant represents and warrants that they are of eligible age to enter their Learner and that their Learner is of Eligible Entry Age to compete in the Contest. Entrant further represents and warrants that Entrant owns or controls all necessary rights in the Submissions to grant Sponsor the rights described herein. Sponsor shall reserve the right to remove a Learner or Submission from a Contest, including, but not limited to, from the Website until only after verifying both parents'/legal guardians' consent to post such Submissions is required by law, court order, or other legal agreement between the parents/legal guardians. 

Only one ( 1 ) entry per one ( 1 ) Learner per entry will be accepted, provided an Entrant may enter another entry for a different Learner associated with Entrant’s Outschool account; all subsequent entries will be disregarded, and any duplicates removed. Entrants may submit their entry forms and recordings using the above procedures anytime on or before December 1, 2025, 11:59PM PT (the “Entry Deadline”). After entering the Contest, the Submissions may be placed on the Website, where they may be viewed by visitors to the Website. Entrants may be requested to submit Additional Submissions for publication on the Website, so long as such Submissions do not display offensive content, are not obscene (as determined in the sole discretion of Sponsor), and do not infringe upon the rights of any person or entity, including but not limited to copyright, right of publicity, and right of privacy. 

INVALID, FALSE, OR DECEPTIVE ENTRIES OR ACCOUNTS SHALL RENDER THOSE ENTRIES OR ACCOUNTS INELIGIBLE. BY ENTERING A LEARNER IN THE CONTEST, ENTRANTS REPRESENT AND WARRANT THAT THEY HAVE READ AND AGREE TO THESE RULES AND THAT THEY AND THEIR LEARNER MEET ANY/ALL ELIGIBILITY REQUIREMENTS. SPONSOR SHALL NOT BE LIABLE FOR ITS REASONABLE RELIANCE ON ENTRANTS' REPRESENTATIONS AND WARRANTIES.



WINNER DETERMINATION:
The Contest includes three ( 3 ) music “Prize Category(ies)”: 

  • Vocal 
  • Instrumental
  • Musical theater performance

There will be three ( 3 ) “Finalists” from each Age Group and one ( 1 ) “Grand Prize Winner” in each Prize Category who will be chosen by three (3) judges based on the following criteria:

  • Talent Showcase - How effectively the Learner presents their skills and creativity through their submission, including performance, portfolio, or overall presentation.
  • Authenticity / Originality - How well the submission reflects the Learner’s personality, individuality, and unique way of sharing their talent.
  • Quality of Talent - How the Learner’s abilities and execution compared to other Entries within their age group and category.

In addition, there will be one ( 1 ) public voting winner based on receiving the most public votes  as outlined in the “How to Vote for people’s choice category” section below. 

In the event of a tie for any prize, such prize will be split evenly among all those tied. All decisions of the Sponsor and judges are final and binding, including, but not limited to whether a Submission is eligible for the Contest. 

Entrants are prohibited from submitting any Entries by any fraudulent or inappropriate means, including, without limitation, submitting any Entries of Learners where Entrant is not the Learner’s legal guardian and/or has consent by the Learner to enter the Contest on their behalf, or  paying for votes, as determined by Sponsor in its sole discretion; all such votes will be void and such Entrant may be disqualified, at Sponsor’s discretion.

HOW TO VOTE FOR PUBLIC VOTING CATEGORY:
A voter of the public voting category must be eighteen (18) years or older and a US Legal Resident at the date the individual makes their vote (“Voting Eligiblity”) on the Outschool Music Showcase voting webpage (“Voting Website”). It is not necessary for individuals submitting votes (each a "Voter" and collectively, "Voters") to pay to cast a vote. Voters who are found not to meet the Voting Eligibility will have their votes disqualified. Void where prohibited or otherwise restricted by applicable law. 

ENTRANTS ARE NOT PERMITTED TO PAY FOR VOTES FOR ANY SUBMISSIONS. ENTRANTS THAT ARE CAUGHT PAYING OR OFFERING OTHER INDUCEMENTS FOR VOTES FOR THEIR OWN LEARNER, MAY SUBJECT THE LEARNER TO DISQUALIFICATION. THE USE OF ONE OR MORE PAYMENT METHOD(S) (PERSONAL, BUSINESS, ETC.) AND/OR FUNDS OF AN ENTRANT TO PAY FOR VOTES TO CAST FOR A LEARNER THAT THE ENTRANT HAS ENTERED INTO THE CONTEST IS STRICTLY PROHIBITED. 

“Bot” activity or any kind of robotic or automated voting mechanism is not an accepted form of voting and such votes will not be counted, if discovered. If this type of fraudulent voting is detected, the individual, associated IP address will be banned from voting. At its sole discretion, Sponsor reserves the right to disqualify Entrants or Learners suspected of encouraging, soliciting, or otherwise knowingly participating in this type of activity, or any other voting activity Sponsor deems unfair and/or disqualify associated Entrants or Learners. Sponsor reserves the right, at its sole discretion, to disqualify or block Contest access to any individual it finds to be tampering with the entry or voting process, or the operation of the Contest, in any way.

CONTEST SCHEDULE:
SPONSOR WILL SELECT, IN ITS SOLE, ABSOLUTE, AND COMPLETE DISCRETION, WHICH ENTRANTS WILL PARTICIPATE IN THE CONTEST AS LEARNERS. Upon entry, Learners will be divided into age groups and Prize Categories and advance to the finalist livestream on December 13, 2025. The official winners will be notified on or around December 13, 2025, and as set forth in the “Winner Notification” section below, and announced on or around December 15, 2025. In the unlikely event that one or more Learners receive an equal number of votes, Sponsor will determine the Learner who shall win, based upon the criteria outlined in the “Winner Determination” section above. Public voting on the Voting Webpage begins on or around December 10, 2025.

WINNER NOTIFICATION:
Potential “Winners” (as defined below) will be notified by email and may be required to execute and return an Affidavit (or Declaration) of Eligibility, Liability and, unless prohibited, Publicity Release. “Winner” shall mean a Finalist, Grand Prize Winner or the public voting Winner. If a potential Winner does not respond to the initial notification within the time period stated in the email notification, does not return all required documentation within the time period stated, or if a prize notification is returned as undeliverable, or such potential Winner is not in compliance with these Rules, including, but not limited to, no longer having an active Outschool membership plan or an ESA, scholarship or charter enrollment, or their account has been closed, prize will be forfeited and, at Sponsor’s discretion, a runner-up will be notified. In addition, Entrants/parents or legal guardians of Learners consent to a background check that may be performed, at the sole discretion of Sponsor, to verify accuracy of information provided by Entrants/for Learners and compliance with these Rules, or for other reasons related to the Contest prior to receipt of any Prizes (as defined below). Upon being selected as a Grand Prize Winner or Finalist in one of the Prize Categories, Winner and/or Entrant/parent or legal guardian information may also be included on the Website and/or on a publicly available “Winners List”.

PRIZES:
Prizes will be given to the the number of Finalists, Grand Prize Winner in each Prize Category and Winner of the public voting category will each receive the following prizes (“Prize(s)”): 

  • Six ( 6 ) “Finalists”: $250 Outschool gift card (“Finalist Prize”) and a fifteen (15) minute virtual meeting with a professional singer ("Finalist Prize")
  • Three ( 3 ) “Grand Prize Winners” (one ( 1 ) in each Prize Category): $500 Amazon gift card and $500 Outschool gift card (“Grand Prize”) 
  • Public voting winner: $500 USD and $500 Outschool voucher (“Public Voting Prize”)

Total estimated value of all prizes: $5,000. For clarity purposes, the six ( 6 ) Finalists who do not win the Grand Prize in a Prize Category will be given the Finalist Prize, and the three ( 3 ) Grand Prize Winners will receive the Grand Prize only and not the Finalist Prize. A Grand Prize Winner or Finalist may also win the Public Voting Prize. Prizes will be deposited into Entrant’s Outschool account within seven ( 7 ) business days following the conclusion of the Winner verification process. All federal, state and local taxes, if any, are the sole responsibility of the Winners. Outschool vouchers are subject to Outschool’s Vouchers and Gift Card policy. Winners may not substitute, assign or transfer prize, but Sponsor reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per person. 

PUBLICITY GRANT:
By accepting a Prize, each Winner, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, biographical information, address (city and state), voice and/or likeness or image (including, without limitation, photograph, and recording), and prize information for advertising, marketing, and promotional purposes without further compensation, in all media now known or hereafter discovered, in any manner and with any materials, worldwide in perpetuity, without notice, review, or approval. By entering a Learner in the Contest, Entrants agree to Sponsor’s use of the Learner's name, biographical information, and any other materials submitted, including the Submissions, for both online and offline direct marketing purposes in connection with the Contest and/or Outschool.

BY REGISTERING TO ENTER A LEARNER IN THE CONTEST, ENTRANT/THE PARENT OR LEGAL GUARDIAN OF THE LEARNER GRANTS SPONSOR A LIMITED, NON-EXCLUSIVE, AND NON-TRANSFERABLE LICENSE TO USE THE ENTRIES AND ANY OTHER MATERIALS SUBMITTED (INCLUDING BUT NOT LIMITED TO THE SUBMISSIONS AND/OR OTHER SUBMITTED RECORDINGS) IN ANY MANNER REASONABLY RELATED TO THE CONTEST AND/OR FUTURE CONTESTS SPONSOR MAY RUN AND/OR OUTSCHOOL. 

PRIZE WINNER ACKNOWLEDGMENT:
The Grand Prize Winners, from each Prize Category, will be announced on the Website. By agreeing to appear as a Winner in the Contest, Entrants consent to the use of their Learner's name, photos/videos (including any applicable photo shoot, filming, interview, etc.), and/or likenesses for advertising and trade purposes in connection with the Contest, including without limitation, the Outschool Music Talent Showcase and in print and digital materials in the United States and any countries where the Outschool brand exists, in any and all media known or hereinafter discovered, without territorial or time limitations and without additional compensation, except where prohibited. In the event there is an occurrence beyond Sponsor’s control, including but not limited to a force majeure, or act of nature, etc., Sponsor may elect, in its sole discretion, to offer a cash equivalency for any portion of the Prizes, in substitution for the current Prizes as described above in the section of these Rules titled "Prizes". By accepting the Prizes package or money, parent or guardian of the Winner acknowledges compliance with these Rules. Actual/appraised value may differ from the approximate retail value (“ARV”) at time of Prize award. The Winner will not receive the difference between the actual value of the Prize component and the ARV of such Prize component.


REQUIREMENTS AND CONSENT OF WINNER(S):
Except where prohibited, acceptance of a Prize constitutes the irrevocable consent of the parent or legal guardian of the Winner to Sponsor, its agents, successors, and assigns or other designee's use of the Winner’s name (as well as parents or legal guardians of the Winner), likeness, photograph, voice, statement, opinions, biographical information, prize and/or state/city of residence for advertising, promotional and publicity purposes in any and all media or format, worldwide, in perpetuity, without any permission, notification, payment or consideration, except for the awarding of the prizes to the Winner. Sponsor is not responsible for any failure of the parents or legal guardians of Learner(s) or Winner(s) to notify Sponsor of any change in address of the Learner(s), or Winner(s). By accepting a Prize, the parent or legal guardian of the Winner agrees to maintain their behavior in accordance with all applicable laws and generally accepted social practices while participating in any Contest activity, including but not limited to participation in or use of a prize. The parent or legal guardian of the Winner understands and further agrees that Sponsor has the right, in its sole discretion, to disqualify and/or remove the Winner from any activity at any time (and/or the parent or legal guardian), if Sponsor determines that the parent or legal guardian of the Winner’s current or past behavior at any point is disruptive or inappropriate, or may or does cause damage to person, property, or the reputation of Sponsor, or otherwise violates the policies of the prize providers.

CONTEST WITHDRAWAL REQUEST:
By participating in the Contest as an Entrant, Learner, or as a Voter, you understand that a Contest withdraw request or request for removal from the Contest can take up to forty-eight (48) hours to be processed and that a profile may still remain active during this length of time. Voters and Entrants/the parents or legal guardians of Learners acknowledge and agree that no refunds will be given upon receipt of a request for removal from the Contest. As such, Sponsor does not encourage withdrawal or voluntary removal from the Contest, as this does a disservice to Voters. 

GENERAL CONDITIONS:
By participating, each Entrant agrees to release, discharge and hold harmless Sponsor, its  parent, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize. 

Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or ineligible votes, emails, phone calls, or communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the tabulation of votes, the announcement of the prizes, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer or device related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or Website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Rules, as solely determined by Sponsor, will be disqualified. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential Winners from all eligible, non-suspect votes received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

ALL DATES SET FORTH IN THESE RULES ARE APPROXIMATE. SPONSOR RESERVES THE RIGHT TO EXTEND ANY DEADLINES. 

USE OF DATA: Sponsor will be collecting personal data about Entrants in accordance with its privacy policy. Please review the Sponsor’s privacy policy.

WINNERS LIST: To receive the names of the winners, send an email to: support@outschool.com, by no later than thirty (30) days after the end of the Contest Period.
